GDC reserves the right to modify, update, or remove parts of these Terms of Use at any time, at its sole discretion, in accordance with the procedures outlined in Section 15.

You acknowledge that these Terms of Use are supported by fair and valuable consideration, the receipt and adequacy of which are hereby confirmed. This consideration includes, but is not limited to, your access to and use of the GDC Sites, the availability of data, materials, and information through these sites, the potential for your Submissions (as defined in Section 4, "Submissions") to be reviewed, used, or displayed by us, and the possibility of gaining publicity or promotion as a result of such use.

All content, information, and materials found on GDC Sites are protected by copyright and are either owned by GDC or licensed to us by third parties. All trademarks, service marks, trade names, and trade dress on the sites are proprietary to GDC and/or its licensors or licensees.

You may not copy, reproduce, republish, upload, post, transmit, or distribute any material from a GDC Site or any website operated, licensed, or controlled by GDC, except that you may download one copy of the materials to a single computer for personal, non-commercial, home use, provided that:

(a) all copyright and proprietary notices remain intact,

(b) the content is not altered in any way,

(c) the content is not used to imply any association with GDC products, services, or brands, and

(d) the content is not downloaded repeatedly to avoid future downloads from the GDC Sites.

Using any content from a GDC Site on another website or in any other digital or physical environment is strictly prohibited.

GDC Sites are intended solely for your personal use. You are not permitted to use the sites for any commercial purposes or in any manner that is illegal, or that, in our sole judgment, could harm GDC, its affiliates, or any other individual or entity.

By submitting any materials, content, or information (“Submissions”) to GDC, you authorize us to act as your agent with full authority to execute any documents or take any actions we deem necessary to confirm the rights, consents, agreements, assignments, and waivers described in these Terms of Use.

You acknowledge that your Submissions are not provided in confidence or trust, and no confidential, fiduciary, or other special relationship is created between you and GDC. To the extent that any moral rights, ancillary rights, or similar non-transferable rights in your Submissions exist and are not owned exclusively by GDC, you agree not to assert those rights against GDC or its licensees, distributors, agents, representatives, or other authorized users. Furthermore, you agree to secure the same waiver from any third party who may hold such rights.

You agree to provide and maintain accurate, current, and complete information about yourself as requested through our registration process (“Registration Data”). If the information you provide is false, incomplete, or outdated, or if we reasonably suspect this to be the case, we reserve the right to suspend or terminate your account and deny current or future access to any GDC Site.

You also agree to:

(a) promptly notify us via the form available on our corporate website of any unauthorized use of your username, password, or other account credentials, or of any security breach related to a GDC Site; and

(b) log out of your account at the end of each session.

GDC expressly disclaims any liability for losses or damages resulting from your failure to comply with these obligations.

You acknowledge and agree that these Terms of Use are supported by valid and sufficient consideration, the receipt of which is hereby confirmed. This includes, without limitation, your use of the GDC Sites, access to data, materials, and information provided through the sites, the opportunity for your Submissions (see Section 4) to be reviewed, used, or displayed by us, and any resulting publicity or promotion from such use.
